Article I: Name of Organization April 27, 2019
Section 1. This Association shall be known as Lake Mitchell Property Owners Inc., a non-profit corporation representing property owners on Lake Mitchell located in Wexford County.
Section 2. The fiscal year of this Association shall be the calendar year, January 1 to December 31.
Article II: Purposes
Section 1. This Association shall promote the education of riparian property owners and other lake users about water quality and water safety.
Section 2. The Association will give input where appropriate to the LMIB on weed management and chemical usage.
Section 3. The Association will focus on issues important to our members to include:
− boat navigation and swimming
− lake quality and health
− lake levels
− propagation and health of fish and wildlife
− update members on success of lake management programs like weed control and removal
− new lake threats like zebra mussels,hybrid weeds and algae
− promote residential best practices (how you can help)
− respond to issues concerning the good of the membership
Article III: Membership
Section 1. Membership in the Association shall be limited to dues paying property owners on Lake Mitchell and persons who own deeded or dedicated property with legal access to the lake. If a person or persons own multiple properties they pay a single dues and receive a single vote.
Section 2. The term “member” is defined as an owner consisting of a single person, a family unit of a married couple,or a group of people owning a property.
Section 3. Each qualified member of this Association shall be equally privileged with all other members in his or her voice and vote upon any policy or proposition presented by the board for discussion or vote at a membership meeting.
Section 4. The membership year shall be the calendar year.
Section 5. The annual dues are payable to the Treasurer on January 1st of each year. Dues shall become delinquent on June 30 of each calendar year.
Article IV: Board and Officers
Section 1. Board members shall be nominated and elected by the membership at an annual meeting. Officer positions shall be established by the board members.
Section 2. The officers of this Association shall be property or deeded owners and not serving on another Lake Mitchell board. Positions are as follows: President, Vice President, Secretary, and Treasure. Terms are two years with elections held at annual meetings. These are non-compensation positions. They shall take office at the adjournment of the annual meeting at which they are elected.
Section 3. In case of death or resignation of the President the Vice President shall at once assume the position. The vacancy of the Vice President shall be filled by the board until the original position term is up. In case of death or resignation of any other officer, the President shall immediately fill the position with consent of the majority of the board members.
Section 4. Any officer becoming ineligible for membership shall automatically forfeit the office and such vacancy shall be filled with the procedure in section 3.
Section 5. The President shall preside at all meetings of the Association and shall cast the deciding vote in case of a tie.
The Vice President shall assist the President in the performance of the duties. In the absence of the President the Vice President shall preside and perform all duties of the President.
The Secretary shall conduct all correspondence for the Association. The Secretary shall keep the minutes of all meetings and maintain a clear record of the business of the Association.
The Treasurer shall receive all monies paid to the Association and shall keep an accurate record of financial status of the members. The Treasurer shall disburse such monies as approved by the board. Expenditures shall be by check from the Associations account and shall be signed by two officers. The Treasurer shall provide an oral report at each membership meeting and a written statement of receipts and expenditures at the annual meeting. All monies paid to the Association shall be deposited in the Association bank account.
Article V: Meetings
Section 1. All meeting shall be scheduled for the fiscal year prior to the end of each calendar year and posted by email and on our web site.
Section 2. Special meetings of the membership may be called at the option of the President or when requested by three board members.
Section 3. A quorum of the Association shall be those members present at any properly noticed meeting. The secretary shall provide a register for attendees of meetings.
Article VI: Committees
Section 1. Committees may be established by a majority vote of the Board as need arises.
Section 2. Committees shall provide a written report to the Board upon request.
Article VII: Order of Business
All meetings of the Board and membership shall be conducted as follows:

3. Reading of the minutes
4. Report of the Treasurer
5. Committee reports.
6. Agenda
7. Open Discussion
8. Election of Officers if Necessary
Article VIII: Roberts Rules of Order will be used
Article IX: Amendments
Section 1. The bylaws may be amended at any regular or properly called special meeting of the membership by a 2/3 vote of the dues paying membership. The vote will be by those in attendance or by proxy.
Section 2. Bylaws shall be posted on the Association web site and available by email upon request to the Secretary.
